Platform terms and use of the service
These Platform Terms (“Terms”) govern all use of the online platform operated by Wisory International AB (“Wisory”, “we”, “us”, “our”) at https://www.wisory.io together with any associated mobile or browser applications (collectively, the “Platform”). By creating an account, ticking an acceptance box, or otherwise using the Platform you (“you”, “your”, or the relevant legal entity you represent) agree to be bound by these Terms.
1 Applicability & Acceptance
a. These Terms apply to all user groups, including (i) verified business advisors (“Advisors”) and (ii) paying or trial business customers and individual end-users (“Customers”); collectively “Users”.
b. Conflicting or deviating terms supplied by a User are valid only if we expressly accept them in writing.
c. We may update these Terms at any time. We will notify Users of material changes at least five (5) business days in advance. You may object within ten (10) business days after such notice; a lack of objection constitutes consent to the revised Terms.
2 User Accounts & Eligibility
a. You must create a User account, provide accurate and complete information, keep it up to date, secure your credentials, and accept all risks arising from unauthorised access.
b. The Platform is intended for business and professional use by persons aged 18 or older. We do not knowingly collect personal data from children under 16.
3 Services Provided
a. Wisory operates a digital marketplace that connects Customers with professional Advisors for one-to-one video and chat-based advisory sessions (“Sessions”).
b. Neither Wisory nor the Advisors provide medical, psychotherapeutic or other regulated healthcare services. Advisory content is not legal advice unless expressly agreed in writing.
4 Sessions, Booking, Cancellation & Codes
a. Unless otherwise agreed, a Customer may book the number of prepaid Sessions stated in the order form or subscription (“Session Allowance”) each month.
b. Sessions are booked through the Platform or our Success team. Unused Sessions may be taken up to one (1) month after the end of the Agreement term.
c. Sessions may be cancelled or re-booked free of charge up to 24 hours before the scheduled start. Re-bookings must occur within fourteen (14) days of the original slot.
d. If a Customer does not join the call within ten (10) minutes, the Session is deemed a “Customer No-Show” and deducted from the Session Allowance. If an Advisor fails to join within ten (10) minutes the Session is an “Advisor No-Show” and is automatically credited back.
e. If fees or other compensation are overdue, Wisory may suspend access to all Platform services until outstanding amounts are paid in full. Such suspension does not release the Customer from its payment obligations.
5 Platform Availability & Force Majeure
a. We strive to provide the Platform continuously but do not guarantee uninterrupted or error-free operation. Planned maintenance and unscheduled outages may occur.
b. Service limitations caused by third-party infrastructure, internet congestion, force majeure or the User’s own hardware/software are at the User’s risk and do not waive payment obligations.
6 Permitted Use & Restrictions
a. You are responsible for all activity that occurs under your account, including use of (i) video, chat and email functions; (ii) appointment tools; (iii) content generated during Sessions; and (iv) ratings and feedback. Wisory is not a forum for political or religious opinions; it shall be used solely to give and receive professional advice in the bookable areas.
b. You must not:
• forward Platform access or content to unauthorised third parties;
• publish Session content without Wisory’s prior written consent (content published by Wisory may be re-shared);
• use the Platform for purposes other than those agreed, or for unlawful, defamatory, fraudulent, discriminatory, political or religious advocacy;
• infringe Wisory’s or any third party’s intellectual property rights;
• impersonate another person or entity or allow unauthorised individuals to use the Platform.
c. We may suspend or terminate access and take legal action for any breach of these Terms, without refund of fees already paid.
7 Intellectual Property & Reservation of Rights
The Platform, underlying software, content, trademarks, and logos are owned by or licensed to Wisory. All rights not expressly granted are reserved. Any use outside these Terms requires Wisory’s prior written approval. Advisors may identify themselves publicly as Wisory Advisors without additional permission.
8 User Feedback & Reference Rights
a. Providing feedback is voluntary. We may use anonymous feedback to improve the Platform and share aggregated results with legitimate stakeholders.
b. Customers agree that Wisory may identify them as a reference customer and display their name and logo for marketing purposes. This consent may be withdrawn at any time by emailing happy@wisory.se.
9 Privacy & Data Protection
9.1 Controller & Compliance
Wisory is the Data Controller for personal data processed on the Platform and complies with the EU General Data Protection Regulation (“GDPR”) and applicable Swedish data-protection law. Our full Privacy Policy is available at https://www.wisory.io/privacy-policy.
9.2 Purposes & Legal Bases
We process personal data to:
• provision and secure the Platform (performance of contract);
• match Customers with Advisors and schedule Sessions (performance of contract);
• improve services, develop predictive or AI-based functionality, and compile statistics (legitimate interest);
• market similar services to existing Customers (legitimate interest, with opt-out).
9.3 Data Retention
We retain account and transactional data for as long as the account is active and thereafter for the limitation period required under Swedish law. Anonymised or aggregated data may be stored indefinitely.
9.4 Third-Party Processing & International Transfers
We use carefully selected subprocessors that provide adequate safeguards, including the EU Standard Contractual Clauses where data is transferred outside the EEA. No third party receives identifiable Session content without a lawful basis or your explicit consent.
9.5 Data-Subject Rights
You may at any time exercise your rights of access, rectification, erasure, restriction, portability and objection, or withdraw consent, by contacting happy@wisory.se. You also have the right to lodge a complaint with the Swedish Data Protection Authority (IMY).
10 Guarantees & Warranties
Except as expressly stated, the Platform and services are provided “as is” and “as available” without warranties of any kind. We do not guarantee a particular outcome from any advice received.
Wisory only facilitates contact between Customers and Advisors; you determine the content of each Session. Neither Wisory nor any Advisor can be held responsible for the outcome of any advice or how it is applied.
11 Limitation of Liability
a. Wisory’s liability is unlimited for:
• damages caused by intentional misconduct or gross negligence;
• liability under the Swedish Product Liability Act;
• fraud or guarantees expressly given.
b. For slightly negligent breaches of essential obligations, liability is limited to foreseeable, typical damages. In all other cases, liability is excluded to the maximum extent permitted by law. The same applies to directors, employees and subcontractors.
12 Indemnity
You agree to indemnify and hold Wisory harmless against claims by third parties arising from your breach of these Terms or misuse of the Platform, including reasonable legal fees.
13 Modifications to the Service
Wisory may from time to time enhance, modify, or discontinue features. Where such changes materially reduce functionality we will give reasonable advance notice and a pro rata refund if you terminate the Agreement.
14 Governing Law & Dispute Resolution
These Terms are governed by Swedish law, excluding its choice-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Any dispute shall be finally settled by arbitration in accordance with the Rules for Simplified Arbitration of the Arbitration Institute of the Stockholm Chamber of Commerce. The seat of arbitration shall be Stockholm, Sweden, and the language shall be English.
15 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be replaced by a valid, enforceable provision that comes closest to the parties’ original economic intent, and the remaining provisions shall remain in full force.
16 Entire Agreement & Order of Precedence
These Terms, together with any order form or written agreement that refers to them, constitute the entire agreement between you and Wisory and supersede all prior discussions. In case of conflict, an individually negotiated order form prevails over these Terms.
